Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and the business you represent ("you", "Customer") and See360 ("See360", "we", "us"). By creating an account, clicking "I agree," or using the See360 service, you accept these Terms. If you do not agree, do not use the service.

1. The service

See360 is a software-as-a-service platform that lets marine and vehicle dealers create interactive 360° views, panoramas, and galleries of their inventory, import inventory from data feeds, embed a viewer on their website, and access related analytics and tools (the "Service"). We may add, change, or remove features over time.

2. Accounts & eligibility

You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. You must be at least 18 years old and authorized to bind the business you represent. You are responsible for your users' compliance with these Terms. Notify us promptly of any unauthorized use.

3. Free trial

We may offer a free trial (currently 14 days). A valid payment method is required to start the trial. Unless you cancel before the trial ends, your subscription automatically converts to a paid plan and the payment method on file is charged for the plan you selected. We may modify or discontinue trials at any time.

4. Subscriptions, fees & price changes

The Service is sold on a recurring subscription (monthly or annual) priced by the plan and inventory tier you select. Fees are billed in advance through our payment processor and are stated in U.S. dollars, exclusive of taxes.

• Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current rate until cancelled. You authorize us and our payment processor to charge your payment method for each renewal.
• Price changes. We may change subscription fees, plan definitions, and inventory tiers. For existing subscribers, any price increase will take effect at your next renewal on or after the effective date, and we will give you at least 30 days' advance notice by email or in-product notice. Your continued use of the Service after the effective date constitutes acceptance of the new pricing. If you do not agree to a price change, you may cancel before it takes effect, and the change will not apply to the remainder of a period you have already paid for.
• Inventory tiers & usage. Plans include a maximum inventory size. If your active inventory materially and consistently exceeds your plan's limit, we may ask you to upgrade to the appropriate tier, and continued use above your limit constitutes acceptance of the corresponding tier price.
• Taxes. You are responsible for all applicable taxes, which may be added to your charges.
• Refunds. Except where required by law, fees are non-refundable and there are no refunds or credits for partial periods, unused features, or downgrades.

5. Cancellation, non-payment & termination

You may cancel at any time from your account; cancellation takes effect at the end of the current billing period, and you retain access until then. If a charge fails, we may suspend or limit the Service until payment is resolved. We may suspend or terminate your account for breach of these Terms, non-payment, or suspected fraud or abuse. Upon termination your right to use the Service ends; we may delete your data after a reasonable period (see our Privacy Policy).

6. Your content & license

You retain ownership of the inventory data, images, video, and other content you or your feeds provide ("Customer Content"). You grant See360 a worldwide, non-exclusive license to host, store, process, reproduce, adapt (e.g. generate frames, panoramas, and derivatives), and display Customer Content solely to provide and improve the Service, including delivering the embeddable viewer to your website visitors. You represent and warrant that you own or have the rights to all Customer Content and that it does not infringe any third party's rights or violate any law.

7. Acceptable use

You agree not to: (a) use the Service unlawfully or to infringe others' rights; (b) upload malware or content that is illegal, defamatory, or infringing; (c) reverse engineer, resell, or provide the Service to third parties except as intended (embedding on your own sites); (d) attempt to gain unauthorized access, probe, or disrupt the Service; (e) exceed rate limits or place an unreasonable load on our infrastructure; or (f) misrepresent inventory or use the Service to deceive consumers. We may remove content or suspend accounts that violate this section.

8. Our intellectual property

The Service, including all software, viewers, designs, and trademarks (including "See360"), is owned by See360 and its licensors and is protected by law. Except for the rights expressly granted to you, we reserve all rights. You may not use our marks without our permission. Feedback you provide may be used by us without restriction or obligation.

9. Third-party services

The Service integrates third-party services (for example, payment processing, email delivery, content delivery/hosting, and AI features). Your use may be subject to those providers' terms, and we are not responsible for third-party services. Inventory feeds you connect are provided by you or your vendors; you are responsible for having the rights to use them.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL MEET YOUR REQUIREMENTS OR PRODUCE PARTICULAR SALES RESULTS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS ITS ESSENTIAL PURPOSE.

12. Indemnification

You will defend, indemnify, and hold harmless See360 and its affiliates, officers, and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your use of the Service, or your breach of these Terms or applicable law.

13. Changes to the service and these Terms

We may modify the Service and these Terms. For material changes to these Terms, we will provide notice (e.g. by email or in-product) before they take effect. Changes are effective on the date stated, and your continued use after that date constitutes acceptance. If you do not agree, stop using the Service and cancel.

14. Governing law & disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in California, and each party consents to that jurisdiction.

15. General

These Terms, together with the Privacy Policy and any order you place, are the entire agreement between us. You may not assign them without our consent; we may assign them to an affiliate or in connection with a merger or sale. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. Notices to you may be sent to your account email.
